How the Online Auction Works

  1. Register to Bid – Create an account and complete bidder registration prior to bidding.
  2. Place Your Bid – Bid the next increment or enter your maximum bid. The system will automatically bid on your behalf up to your maximum amount.
  3. Extended Bidding – If a bid is placed during the final 3 minutes, the auction will automatically extend by 3 minutes until no additional bids are received.
  4. Buyer's Premium – A 10% Buyer's Premium is added to the final high bid to determine the total purchase price.
  5. Earnest Money Deposit – The successful bidder must submit a $5,000 earnest money deposit and sign purchase documents within 24 hours of auction closing.
  6. Closing – Closing will take place within 30 days through Diamond Title of Northeast Ohio.

By registering and placing a bid, Bidder acknowledges they have read, understood, and agree to be bound by all Terms & Conditions of this auction.

REGISTRATION

Online registration is required prior to bidding. Auctioneer reserves the right to deny bidding privileges to any person and may request proof of identity, proof of funds, bank letters, credit card verification, or other documentation prior to approving registration.

All bidders must be at least 18 years of age and legally capable of entering into a binding contract. Bidders are responsible for maintaining the security of their bidder number and password and are fully responsible for all bids placed under their account.

PROPERTY INFORMATION / DUE DILIGENCE

All information provided is believed to be accurate but is not guaranteed. Announcements made prior to or during the auction take precedence over all printed, online, or previously published materials.

Bidders are solely responsible for conducting their own independent inspections and due diligence concerning the property, including but not limited to condition, zoning, boundaries, acreage, taxes, utilities, environmental matters, permitted uses, and all governmental regulations prior to bidding.

PROPERTY CONDITION

The property is being sold AS-IS, WHERE-IS, with all faults, defects, and limitations, whether apparent or not. Seller and Auctioneer make no warranties or representations, expressed or implied, regarding the condition, merchantability, habitability, fitness for a particular purpose, or suitability of the property.

Bidder acknowledges they have had the opportunity to inspect the property and agrees to rely solely upon their own inspections and judgment. All inspections must be completed prior to bidding.

BIDDING

When placing a bid, Bidder may place the next required bid or enter a Maximum Bid. The bidding software will automatically bid on Bidder’s behalf up to the entered maximum amount using the published bid increments.

All bids are binding and may not be withdrawn for any reason. No bid retractions, refunds, or chargebacks will be permitted.

Auctioneer reserves the right to reject any bid, suspend bidding privileges, group or divide lots, withdraw property from sale, or cancel, pause, extend, or reschedule the auction due to technical issues, emergencies, or other circumstances beyond its control.

Auctioneer is providing internet bidding as a service only and shall not be held responsible for missed bids, failed internet connections, software malfunctions, technical difficulties, clerical errors, or system failures.

The record of sale maintained by Auctioneer shall be final in the event of any dispute.

Auctioneer reserves the right to refuse registration, suspend bidding privileges, or cancel any sale if Auctioneer determines, in its sole discretion, that a bidder has provided false information, failed to comply with auction terms, or engaged in fraudulent or improper bidding activity.

EXTENDED BIDDING

If a bid is placed within the final 3 minutes of the auction, bidding will automatically extend an additional 3 minutes and will continue to extend until no further bids are received.

BUYER’S PREMIUM

A 10% Buyer’s Premium will be added to the final high bid to determine the total contract purchase price. The Buyer’s Premium becomes part of the Purchase Agreement and total purchase price.

DOWN PAYMENT / EARNEST MONEY

A $5,000 earnest money deposit is due within 24 hours of auction closing by wire transfer, bank transfer, or direct deposit payable to:

Successful bidder shall execute all required purchase documents within 24 hours of auction closing.

Electronic signatures shall be considered valid and binding for all auction and purchase documents.

No chargebacks or payment disputes shall be permitted regarding earnest money deposits or auction-related fees.

FINANCING

The balance of the purchase price is due at closing within 30 days. Financing is permitted; however, the sale is not contingent upon financing, appraisal, inspections, or any other buyer conditions. Buyers are encouraged to have financing arranged prior to bidding. Buyers may use any lender of their choice.

CLOSING

Closing shall occur within 30 days at:

Seller shall provide marketable and insurable title by General Warranty Deed or similar insurable deed free of liens and delinquent taxes unless otherwise stated.

Taxes shall be prorated to the date of closing. Buyer and Seller shall pay customary closing costs as determined by the closing agent unless otherwise stated. Possession shall be granted at closing unless otherwise noted.

Time is of the essence regarding all obligations of Buyer under these Terms & Conditions and Purchase Agreement.

AGENCY

Auctioneer is acting solely as agent for the Seller.

DEFAULT

If Purchaser fails to comply with any term of the auction or Purchase Agreement, including failure to deliver earnest money, execute required documents, or close within the stated time, Purchaser shall be deemed in default.

Upon default, Seller and/or Auctioneer may, at their option:

Retain earnest money deposit as liquidated damages

Cancel the sale

Resell the property with or without notice

Recover any deficiency resulting from resale

Recover commissions, attorney fees, carrying costs, court costs, resale expenses, and other damages resulting from Purchaser’s default

Seller and Auctioneer reserve all rights and remedies available at law or in equity.

LIABILITY

Persons attending property inspections, previews, closings, or removal of personal property do so at their own risk. Buyer agrees to indemnify and hold harmless Seller and Auctioneer, including their officers, agents, and employees, from any claims, injuries, damages, losses, or liabilities arising out of the auction or the property.

Auctioneer and Seller shall not be liable for accidents, injuries, loss of property, or damages of any kind.

RESERVE AUCTION

Unless specifically stated otherwise,  all auctions in Ohio are a Reserve Auction. Seller reserves the right to accept or reject the final high bid. Final acceptance of the high bid is subject to Seller confirmation unless otherwise stated.

GOVERNING LAW

Any disputes arising from this auction shall be governed by the laws of the State of Ohio, with venue exclusively in Portage County, Ohio.

DISCLAIMER

Auctioneer reserves the right to modify, amend, or supplement these Terms & Conditions at any time prior to the close of bidding. Any additional terms posted in the lot descriptions, bidder notices, or announced prior to auction close shall become part of these Terms & Conditions.
